At the 2023 Annual Meeting, there were 13,236,478shares of the Company’s common stock (as of the record date March 20, 2023) entitled to vote, of which 8,383,117 shares of common stock were present in person or represented by proxy, representing  63.33% of total outstanding shares of our common stock entitled to vote.
